How to enter items - use of our portal constitutes acceptance of our consignor agreements, policies and procedures. ResellXL.com reserves the right to suspend any account at any time for fraudulent activities or posting fake or unauthenticated items. We have a minimum price of $40 to list and a minimum of 20 items to maintain a live account. RESELLXL CONSIGNOR AGREEMENT Effective Date: September 1, 2026 This Consignor Agreement (the "Agreement") establishes the terms and conditions under which merchandise is listed and sold through ResellXL.com ("ResellXL"). Use of the ResellXL consignor portal, submission of merchandise for listing, or continued maintenance of an active Consignor Account constitutes the Consignor's acceptance of this Agreement and ResellXL's applicable policies and procedures. ResellXL reserves the right to suspend or terminate a Consignor Account for violation of this Agreement, fraudulent activity, counterfeit or non-authentic merchandise, repeated fulfillment failures, inaccurate inventory, or other conduct that ResellXL reasonably determines may harm its customers, marketplace, or reputation. 1. CONSIGNMENT RELATIONSHIP ResellXL operates an online marketplace specializing in the marketing and sale of designer clothing, shoes, accessories, and related merchandise, including fashion for plus-size women. The Consignor owns or legally controls merchandise that the Consignor wishes to offer for sale through ResellXL (collectively, the "Property"). Consignor authorizes ResellXL to market and sell approved Property on Consignor's behalf in accordance with this Agreement. ResellXL operates using a remote fulfillment model. Unless otherwise specifically agreed in writing, Consignor retains physical possession of Property while it is listed for sale and is responsible for fulfilling orders after a sale occurs. Title to the Property remains with Consignor until a sale is completed as provided in this Agreement. 2. CONSIGNOR ACCOUNT AND LISTING REQUIREMENTS Prospective Consignors must request and receive approval for a ResellXL Consignor Account before listing Property. ResellXL may establish minimum listing requirements, accepted designer and brand requirements, minimum selling prices, inventory requirements, and other marketplace standards from time to time. ResellXL currently requires a minimum listing price of $40 per item. Consignor is responsible for all information submitted through the Consignor Account and for maintaining the confidentiality and security of the account. Consignor agrees that all information provided concerning Property, including designer or brand, size, condition, measurements, materials, authenticity, photographs and descriptions, will be complete and accurate. 3. REMOTE FULFILLMENT AND INVENTORY RESPONSIBILITY ResellXL does not ordinarily take physical possession of Property before it is sold. Consignor will retain possession of listed Property and is solely responsible for its safekeeping, storage, condition, availability and inventory accuracy while it is listed on ResellXL. Every item shown as available for sale must:
If an item is sold elsewhere, donated, transferred, lost, damaged, destroyed, misplaced or otherwise becomes unavailable, Consignor must promptly remove the item from ResellXL or update its availability. Consignor may not knowingly maintain listings for Property that is no longer available for sale. 4. SHIPPING SOLD PROPERTY When Property sells, ResellXL will provide Consignor with a shipping label and/or shipping instructions for delivery of the sold Property to the purchaser or another destination designated by ResellXL. Consignor agrees to properly package and ship every sold item within twenty-four (24) hours after receiving the shipping label or shipping instructions from ResellXL. Consignor is responsible for regularly monitoring the email address and Consignor Account associated with the account for notices of sales, shipping labels and fulfillment instructions. Consignor must use the shipping label and instructions provided or approved by ResellXL and may not independently change the delivery address or otherwise alter the fulfillment process without ResellXL's approval. Consignor may not contact a ResellXL purchaser for the purpose of completing a transaction outside ResellXL or otherwise circumvent ResellXL's marketplace, commissions or sales process. Consignor remains responsible for the Property while it is in Consignor's possession and until it has been properly packaged and delivered to the designated carrier in accordance with ResellXL's shipping instructions. 5. INVENTORY ACCURACY AND 90% FULFILLMENT REQUIREMENT Maintaining accurate inventory is a material condition of participation in the ResellXL marketplace. Consignor is expected to maintain an order fulfillment rate greater than 90%. A Consignor Account may be suspended if 10% or more of Consignor's orders cannot be fulfilled, including because Consignor:
ResellXL may temporarily deactivate some or all listings when an account is suspended. Before reinstating an account, ResellXL may require Consignor to conduct an inventory review and confirm that all remaining listed Property is physically available, accurately represented and ready for immediate sale and shipment. Repeated fulfillment failures, failure to correct inventory inaccuracies following suspension, or continued inability to maintain a fulfillment rate greater than 90% may result in permanent termination of the Consignor Account. Nothing in this Section limits ResellXL's ability to immediately suspend or terminate an account for fraud, counterfeit merchandise, intentional misconduct or another material violation of this Agreement. 6. CONDITION OF PROPERTY — CLEAN AND READY TO WEAR Quality is essential to the ResellXL marketplace. ResellXL has developed a strong repeat customer base, and Consignor acknowledges that the condition and quality of merchandise directly affect customer trust in ResellXL. All Property offered for sale must be:
Consignor is responsible for inspecting each item before listing it and again immediately before shipping it to the purchaser. All material wear, alterations, stains, damage, missing components, defects or other condition issues must be accurately disclosed in the listing and clearly represented in photographs when appropriate. Because ResellXL operates using remote fulfillment, ResellXL may not physically inspect Property before it is listed or sold. Approval or publication of a listing does not constitute ResellXL's independent verification or guarantee of the item's condition, cleanliness, authenticity or accuracy. If Property received by a purchaser is materially different from its listing, damaged, excessively worn, unclean, contains undisclosed stains, odors or defects, or is otherwise not reasonably ready to wear or use, ResellXL may refund the purchaser, cancel or reverse the transaction, suspend the Consignor Account, and/or exercise any other remedy available under this Agreement. 7. AUTHENTICITY — ZERO TOLERANCE FOR COUNTERFEITS Authentication is everyone's responsibility. Consignor is responsible for ensuring the authenticity of every item offered for sale through ResellXL. By listing Property, Consignor expressly represents and warrants that the Property is authentic, legally owned or controlled by Consignor, and legally eligible for resale. ResellXL has a zero-tolerance policy for counterfeit, fake, replica, fraudulent, stolen or otherwise non-authentic merchandise. Consignor shall not list or attempt to sell any Property that Consignor knows, suspects, or has reason to believe may be counterfeit or non-authentic. For luxury merchandise or other Property for which authentication is reasonably appropriate, ResellXL may require proof of purchase, authentication documentation, photographs, serial numbers, date codes, third-party authentication or other evidence reasonably necessary to establish authenticity. ResellXL may remove or cancel any listing and suspend or permanently terminate a Consignor Account if ResellXL determines or reasonably believes that Property may be counterfeit, fake, stolen or otherwise non-authentic. If Property listed or sold by Consignor is determined to be counterfeit, fake or non-authentic, Consignor agrees that ResellXL may, to the fullest extent permitted by applicable law:
Consignor's authenticity obligations survive the sale of Property and termination of the Consignor Account. 8. UNACCEPTABLE OR MISREPRESENTED PROPERTY Property that does not satisfy ResellXL's quality, authenticity, designer, pricing or other marketplace requirements may be removed from the marketplace. ResellXL may charge reasonable processing or administrative fees disclosed through its current policies for listings or transactions requiring additional handling because Consignor submitted unacceptable, materially misrepresented or non-authentic Property. A pattern of unacceptable merchandise, inaccurate descriptions, undisclosed condition problems or other quality issues may result in suspension or termination of the Consignor Account. 9. LISTING PERIOD The listing period for Property begins when the item is approved and made available for sale through ResellXL and continues for up to 180 days, unless the item is sold or removed earlier. Consignor may request removal of unsold Property during or following the listing period, subject to any applicable ResellXL policies. Because Property remains in Consignor's possession, Consignor is responsible for ensuring that all Property remains available throughout the period in which it is actively listed. ResellXL reserves the right to remove Property that has not sold within 180 days. ResellXL also reserves the right to suspend or close a Consignor Account that does not satisfy ResellXL's current minimum active inventory requirements. 10. PRICING AND EFFORTS TO SELL Consignor chooses the initial asking price for Property. ResellXL may provide pricing recommendations based upon its evaluation of comparable merchandise, marketplace conditions and other factors. Consignor acknowledges that competitively priced Property is generally more likely to sell. ResellXL will make commercially reasonable efforts to market and sell approved Property. ResellXL may offer promotional discounts or price reductions in accordance with its then-current promotional policies. 11. PROPERTY SALE AND TITLE Title to and ownership of Property remain with Consignor while Property is listed and remains in Consignor's possession. For purposes of determining Consignor's entitlement to Commission, a sale is not final until the Property has been timely shipped and the applicable purchaser return, dispute, cancellation and payment-processing period has expired. If a transaction is cancelled, refunded, disputed, charged back or otherwise reversed because Property:
no Commission will be due to Consignor for that transaction. If Commission has already been paid on a transaction that is subsequently refunded, reversed or charged back, ResellXL may deduct that Commission and any other amounts permitted under this Agreement from future amounts payable to Consignor. 12. PAYMENT AND COMMISSIONS The "Net Selling Price" means the selling price of the Property less applicable discounts and third-party marketplace or sales fees, excluding taxes and shipping. Unless otherwise agreed in writing, Consignor will receive: 70% of the Net Selling Price for Property sold for $1,000 or less; and 80% of the Net Selling Price for Property sold for more than $1,000. ResellXL may temporarily increase Commission rates for promotional or other business purposes. Commission constitutes Consignor's sole compensation under this Agreement. Commission payments are typically processed on or about the 15th day of the calendar month following the applicable completed sale and are delivered electronically using the payment methods then supported by ResellXL. If a transaction remains subject to a return, refund, chargeback, authenticity investigation or other dispute, ResellXL may withhold Commission until the matter has been resolved. If a Commission was previously paid on a transaction that is later refunded, returned, reversed or charged back, the amount may be deducted from Consignor's account or future Commission payments. 13. RETURNS AND CUSTOMER DISPUTES Although ResellXL's marketplace policies may limit returns, Consignor acknowledges that returns, refunds, disputes and chargebacks may nevertheless occur. If Property is returned, ResellXL may relist the Property to Consignor's account when appropriate. Any Commission previously paid on returned or refunded Property may be deducted from amounts otherwise payable to Consignor. ResellXL may charge applicable processing, shipping, authentication or other costs resulting from a return caused by inaccurate listing information, undisclosed damage, unacceptable condition, authenticity concerns, or another failure by Consignor to comply with this Agreement. 14. CONSIGNOR REPRESENTATIONS AND WARRANTIES Consignor represents and warrants with respect to every item of Property that:
These representations and warranties are material conditions of Consignor's participation in the ResellXL marketplace. 15. INDEMNIFICATION Consignor agrees to indemnify, defend and hold harmless ResellXL and its owners, officers, directors, employees, contractors, agents and affiliates from and against claims, damages, losses, liabilities, judgments, penalties, chargebacks, refunds, costs and expenses, including reasonable attorneys' fees and costs to the extent permitted by applicable law, arising out of or relating to:
16. NO PROPERTY WARRANTIES; LIMITATION OF LIABILITY Except to the extent required by applicable law, ResellXL makes no representation or warranty, express or implied, regarding any Property. Because Consignor retains physical possession of Property until fulfillment, ResellXL is not responsible for loss, theft, damage, deterioration or destruction occurring while Property remains in Consignor's possession or control. To the fullest extent permitted by applicable law, ResellXL's liability relating to Property shall not exceed the amount actually received by ResellXL from the applicable sale giving rise to the claim. 17. ACCOUNT SUSPENSION AND TERMINATION Either party may terminate the consignment relationship at any time, subject to outstanding transactions, obligations and amounts owed under this Agreement. ResellXL may immediately suspend or terminate a Consignor Account for reasons including:
Suspension or termination does not eliminate Consignor's obligations relating to transactions occurring before suspension or termination. 18. NO ASSIGNMENT Consignor may not assign, transfer or delegate its rights or obligations under this Agreement without ResellXL's prior written consent. Any prohibited assignment is void. 19. CHOICE OF LAW AND FORUM This Agreement and all matters arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles. Each party irrevocably submits to the exclusive personal jurisdiction of the applicable state and federal courts located in Miami-Dade County, Florida, for matters arising out of or relating to this Agreement, except as otherwise required by applicable law. Nothing in this Section prevents a party from seeking appropriate equitable or injunctive relief from a court of competent jurisdiction when necessary. 20. ENTIRE AGREEMENT This Agreement, together with ResellXL's applicable Terms of Service and policies incorporated into this Agreement, constitutes the entire agreement between the parties concerning the subject matter addressed herein and supersedes prior or contemporaneous understandings, agreements, representations and warranties concerning that subject matter. ResellXL may update its marketplace policies, procedures and operational requirements from time to time. Material amendments to this Agreement will be communicated or posted as required by applicable law. 21. WAIVER No failure or delay by either party in exercising any right or remedy under this Agreement constitutes a waiver of that right or remedy. A waiver of one provision or violation shall not constitute a waiver of any other provision or subsequent violation. 22. SEVERABILITY If any provision of this Agreement is determined to be invalid, illegal or unenforceable, the remaining provisions will continue in full force and effect to the fullest extent permitted by law. To the extent permitted, an invalid or unenforceable provision shall be modified only as necessary to make it enforceable while most closely preserving its original intent. 23. SURVIVAL Any provision that by its nature is intended to continue after termination of this Agreement shall survive termination, including provisions concerning authenticity, representations and warranties, payment adjustments, refunds, chargebacks, indemnification, limitation of liability and dispute resolution. 24. ELECTRONIC ACCEPTANCE By creating or using a ResellXL Consignor Account, accessing the ResellXL consignor portal, submitting Property for listing, or otherwise participating as a Consignor after receiving or being provided access to this Agreement, Consignor acknowledges that Consignor has read, understands and agrees to be bound by this Agreement.
